Transactional Attorney. Provide support in managing, preparing and negotiating vendor and related contracts for the Contracts Team. Serve as the primary subject matter expert (“SME”) and point of contact for escalated legal matters in vendor and intercompany contracting, including RFP work, NDAs, strategic alliances and other collaborations, negotiations and collateral support areas:  e.g., audits and market exams; governmental filings; regulatory obligations; internal vendor coordination, financial assessments, et al.  Manage and develop contract templates, toolkits and related processes to provide flexibility for unique transactions and regulatory compliance and conformance with company standards, policies and procedures.

 

Primary Responsibilities:

  • Draft and negotiate agreements for vendor and intercompany contracts
  • Explain the company’s position and rationale on contract terms (legal, business and financial) and develop appropriate compromises in contract negotiations that still maintain compliance with legal, regulatory and business requirements and relevant corporate standards
  • Provide legal expertise and business and regulatory advisement for vendor, corporate development and intercompany transactions
  • Provide support for contract production and vendor and intercompany contract management: e.g., data exchange and non-disclosure agreements, strategic alliances, settlements, vendor and intercompany specific regulatory requirements, licensing arrangements, broker/dealer agreements, granting instruments, LOIs/LOAs, responses to RFPs, term sheets, et al
  • Manage multiple contract priorities for complex vendor, corporate development and intercompany contracts
  • Produce required contractual documents that meet expectations of timeliness and quality
  • Assess risk and explain contract language and terminology appropriately to business owners and constituents
  • Provide legal support to other team members
  • Lead and/or participate in special projects/assignments as required

Required Qualifications:
  • 5+ years of professional legal experience to include contracts experience
  • Juris Doctorate
  • Demonstrated ability to provide strategic direction, influence others and express independent ideas
  • Knowledge of corporate, managed care, insurance, administrative, regulatory and contracts law and litigation experience
Preferred Qualifications:
  • 3+ years of in-house counsel experience
  • Ability to provide strategic direction and build consensus among many stakeholders
  • Ability to drive results to meet established individual and team goals
  • Strong interpersonal skills, including people management
  • Clear and concise communications and the ability to communicate verbally and in writing to executive leadership
  • Strong attention to detail and processes
  • Ability to be a creative problem-solver with a focus on flexibility to meet the individual customer’s needs and situation
  • The ability and desire to work in a highly dynamic, fast-paced environment, with tight deadlines, quickly shifting priorities and multiple key assignments
